Terms of Sale

These Terms of Sale apply to each order you place directly with  Nestlé USA, Inc., a Delaware corporation (“Nestlé” or “we”) via Nestlé’s Instagram Shops (the “Site”). These Terms of Sale are in addition to and not in lieu of, your rights and obligations under the Nestlé Terms and Conditions (“Terms & Conditions”). By placing an order through the Site, you agree to these Terms of Sale and affirm your agreement to the Terms & Conditions. If you do not agree to the Terms of Sale and Terms & Conditions, do not place an order via the Site.

 

THE INDEMNIFICATION, DISCLAIMER, LIMITATION OF LIABILITY, AND DISPUTE RESOLUTION PROVISIONS IN THE TERMS & CONDITIONS ARE INCORPORATED BY REFERENCE INTO THESE TERMS OF SALE AND WILL APPLY TO ANY DISPUTES OR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OF SALE, INCLUDING DISPUTES OR CLAIMS RELATED TO PURCHASED PRODUCTS. THIS INCLUDES THE REQUIREMENT FOR YOU AND NESTLÉ TO RESOLVE ANY DISPUTES OR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OF SALE THROUGH INDIVIDUAL, BINDING ARBITRATION AND NOT AS A CLASS ARBITRATION, CLASS ACTION, ANY OTHER KIND OF REPRESENTATIVE PROCEEDING, OR BY JURY TRIAL AS SET OUT IN SECTION 17 OF THE TERMS & CONDITIONS.

 

We reserve the right, at any time, to make changes to these Terms of Sale by posting an updated version on the Site. The “Last Updated” date above indicates when these Terms of Sale were last changed. Your continued use of the Site after we post an updated version of these Terms of Sale on the Site shall constitute your acceptance of the change(s) reflected in the updated version of these Terms of Sale.

1.     Privacy

For information about how we collect, use, share, and otherwise process information about you, please see our Privacy Policy.

 

2.     Eligibility

To complete your purchase, you must have a valid billing and shipping address within a country that can be selected as part of the checkout process on the Site (the “Territory”). We make no representations or warranties that products available on the Site are appropriate or available for use in locations outside the Territory. Currently, the contingous United States (excluding Alaska and Hawaii) is the only Territory permitted for orders on the Site.

 

3.     Purchase Restrictions and Quantity Limits 

Unless otherwise approved by Nestlé in writing, you may only purchase products from the Site for your personal or household use. Products purchased from the Site are not authorized for resale. We may place a limit on the quantities of products that may be purchased per order, per account, per credit card, per person, or per household. We reserve the right, without prior notice, to refuse service to any customer or reject any order at any time and refund any money you have paid for such order. Customers found to have engaged in the unauthorized resale of Nestlé products or to otherwise have violated these Terms of Sale may have their accounts terminated. You are responsible for compliance with United States export controls and for any violation of such controls, including any United States embargoes or other federal rules and regulations restricting exports.

 

4.     Product Listings

Descriptions and images of products and offers made available on the Site (“Listings”) are subject to change at any time without notice. We attempt to ensure that Listings are complete, accurate, and current, but despite our efforts, Listings may occasionally be inaccurate, incomplete, or out-of-date. We make no representations as to the completeness, accuracy, reliability, validity, or timeliness of such Listings (including any features, specifications, and prices contained therein). Certain weights, measures, and similar descriptions are approximate and are for convenience only. We make reasonable efforts to accurately display the attributes of products, including the applicable colors, in Listings; however, the actual colors you see will depend on your device and settings, and we cannot guarantee that your device will accurately display such colors.

 

Packaging and labeling on products may vary from that shown in Listings, including by containing additional or different information than shown in Listings. You should not solely rely on the information presented in Listings and should always read labels, warnings, and directions for safe use on the labeling and packaging you receive before using any of our products.

 

Nestlé does not guarantee that the functions contained in the Site will be uninterrupted or error-free or that defects will be corrected.

 

5.     Price

Prices shown on the Site are exclusive of any sales, use or similar taxes applicable to the sale and purchase of the products through the Site, as well as any charges for shipping and handling. All relevant taxes,  shipping and handling costs will be added to the amount of your purchase and itemized on the checkout page, and you will have an opportunity to review taxes and delivery costs before you confirm your purchase. All prices on the Sites are subject to change at any time without notice. We do not collect sales, use or similar taxes on products shipped to a jurisdiction in which we do not have a substantial nexus, in which case you will be liable to the appropriate taxing authority for any sales, use or similar taxes relating to your purchases of products through the Site.

 

6.     Orders Placement and Processing

Prior to finalizing your order, you will have the opportunity to review and confirm your order, including delivery address, payment method, and other details of your order. By placing an order through the Site, you make an offer to purchase the products you have selected under these Terms of Sale. We will send you an email acknowledging your order confirmation after you place it, which email will include information on how to track your order. Our acceptance of your order will be complete at the time we display or send the formal acceptance notice to you, and payment must be received by us before our acceptance of an order.

 

7.     Shipping and Delivery

Products will be shipped to the address designated by you when placing an order, so long as such address is within the Territory, is complete, and complies with all shipping restrictions set forth on the Site. Delivery tracking may be available in certain locations through the Site or a third-party delivery vendor. The phone number you provide may be used to notify you of delivery and/or may be visible on the outside of the package delivered.

 

You will pay all shipping and handling charges specified during the ordering process. Shipping options and availability of promotions like free shipping may not be available for all locations or address types. Title and risk of loss for products you order pass to you when the shipping carrier receives the products. You are responsible for filing any claims with the relevant shipping carrier for damaged and/or lost shipments. Any shipping or delivery dates provided are estimates only and not guaranteed. We are not liable for any delays in shipments.

 

8.     Order Delays; Cancellation

We reserve the right to refuse or cancel, in whole or in part, any order prior to delivery. If, for example, there are errors on the Site or made in connection with your order, inaccuracies in product or pricing information or product availability, or limits on available stock, we reserve the right to correct the error and charge you the correct price or cancel your order in part or in whole. We may also require verification of information prior to our acceptance and/or shipment of any order.

 

We will notify you if all or any portion of your order is cancelled or if additional information is required to accept your order. Occasionally, the manufacture or distribution of a certain product may be delayed. In such an event, we will make reasonable efforts to notify you of the delay and keep you informed of the revised delivery schedule.

 

9.     Refund Policy 

OUR REFUND POLICY IS IN ADDITION TO ANY STATUTORY RIGHTS YOU MAY HAVE UNDER LAW.

 

We hope that you will be pleased with products you purchase using the Site. If you are not, you must contact us here or by emailing us at nescafeshop@casupport.com within thirty (30) days from the date such product was delivered to request a refund. To have your refund request approved, you may be required to provide us with additional information about the product, to return the product to us using a Nestlé -provided shipping label, or to dispose of the product in accordance with our instructions. After your refund request for a product is approved, we will refund your purchase price of the product to the original form of payment for the order or as a store credit. However, no refunds will be provided for products that were labeled as “final sale” or that were otherwise marked as not being eligible for refunds at the time you placed your order, and all sales become final after thirty (30) days.

 

10.  Reservation of Rights

We reserve the right at any time, including without prior notice, to limit the available quantity of, or discontinue making available, any products; to impose conditions on honoring coupons, discounts, or similar promotions; to bar any user of the Site from making any transaction; to alter the payment option for products; and to refuse to provide any user with any product.

 

11.  Force Majeure

We are not responsible for any delays or failure caused by circumstances beyond our reasonable control. Such circumstances include strikes, wars, pandemics, natural catastrophes or any others that make the production, transportation or delivery of products commercially impracticable. In the event of delay, we will perform our obligations as soon as commercially practicable, and we reserve the right to allocate any limited product supply among customers in any manner we see fit.

 

12.  General Terms

Our failure to exercise or enforce any right or provision of these Terms of Sale will not operate as a waiver of such right or provision, and these Terms of Sale, together with the Terms & Conditions and any additional or alternative terms we have provided to you, contain the entire understanding between you and Nestlé regarding orders placed with and products purchased from the Site. Purchase of Nestlé products from third party websites are not covered by these Terms of Sale. If any part of these Terms of Sale is found to be invalid or legally unenforceable, that will not affect the validity or enforceability of any other part of the Terms of Sale.
